Terms and Conditions
1. Who we are
Webinnovators is operated by Webinnovators Technologies (OPC) Private Limited, an Indian one person company. CIN: U72900WB2019OPC235194. Registered office: C/O MD MOZAHIRUL HAQUE, PANCHANANTALA ROAD, KORMOKARER GALI PROFESSOR, PRANTIK COLONY, MURSHIDABAD, West Bengal, India – 742101. Our Kolkata business contact address is separate from our registered office. Contact: sales@webinnoovators.com or +91 90622 17468. Privacy and grievance officer: Azfar Alam.
2. Scope and acceptance
These terms govern use of webinnoovators.com, its free tools, enquiries, and services expressly ordered from us. You must be at least 18 and legally able to contract, or be an authorised representative of the customer. Browsing does not itself place an order, authorise a charge, or provide consent to optional marketing or tracking. A project starts only when its scope and commercial terms have been accepted in writing.
3. Project agreements and order of priority
A signed proposal, statement of work, service agreement, or data processing agreement sets the deliverables, exclusions, milestones, fees, dependencies, support, and ownership arrangements for that engagement. Mandatory law takes priority. Subject to that, an engagement-specific signed agreement takes priority over these general terms on the same subject. Neither these terms nor a later website update retrospectively changes an existing contract. We will resolve inconsistencies with you before work starts.
4. Services, delivery, and customer responsibilities
We provide digital services such as strategy, website and application development, design, marketing, SEO, advertising, automation, AI-related development, hosting, and maintenance as agreed for each project. Delivery is ordinarily electronic through an agreed email, repository, staging site, client portal, or deployment process. There is no physical shipment unless expressly agreed. Estimates depend on timely briefs, access, approvals, content, and third-party availability. Changes to scope, charges, or delivery dates require written agreement; extra work is not automatically authorised. Tell us promptly about defects against the agreed specifications so we can assess and remedy them. Silence is not automatic acceptance of a disputed deliverable.
5. Fees, advertising spend, taxes, and international payments
The accepted quote or order identifies the currency, payment schedule, taxes, and included services. Advertising spend, domains, licences, subscriptions, payment-provider fees, hosting, and other third-party costs must be identified and approved before we commit them on your behalf. Agency fees and advertising budgets are separate unless the order states otherwise. International payment methods and any disclosed currency-conversion or bank costs are agreed before payment. Tax treatment, including whether a supply qualifies as an export of services, depends on the transaction and applicable law; an overseas customer address alone does not establish tax exemption. We do not ask you to misdescribe a payment or evade tax, foreign-exchange, or sanctions requirements.
6. Cancellation, refunds, and recurring services
Our Refund and Cancellation Policy explains milestone-based cancellations, unused advances, service failures, and third-party costs. Recurring billing, renewal dates, notice periods, and cancellation methods must be disclosed in the order before you accept them. This website does not authorise undisclosed automatic renewals. Cancelling a renewal stops future renewal charges in accordance with the agreed notice terms; it does not remove remedies for deficient service or other mandatory rights.
7. Client materials, intellectual property, and confidentiality
You retain rights in the materials you supply and must have permission to provide and use them. Access or use permissions you give us are limited to performing the agreed work. Final deliverable ownership, any assignment, source files, repositories, and licence rights must be documented in the project agreement; third-party and open-source components remain subject to their licences. Our pre-existing tools and know-how are not automatically assigned. A logo design engagement does not include trademark clearance or registration unless expressly agreed. We will not publish confidential client materials or use a client name, logo, testimonial, or project in a portfolio without permission or an applicable agreed publicity right. Both parties must protect confidential information and restrict its use to the engagement, except where disclosure is lawfully required.
8. Data protection and responsible AI
Our Privacy Policy describes information we process for our own website and business purposes. If you ask us to process personal data for your organisation, the parties must document the roles, instructions, security requirements, approved providers, transfer arrangements, retention, and incident assistance in the engagement and any required data processing agreement. A public policy is not a substitute for that agreement. Do not send sensitive personal data, production credentials, children’s data, or regulated records through general enquiry forms. AI tools, models, and data inputs must be authorised for the project. Confidential or personal client data must not be submitted for unrelated model training without a separate lawful authorisation. AI outputs require appropriate human review and may be inaccurate, biased, or unsuitable for a particular use.
9. Marketing, platforms, and outcomes
We must both follow applicable advertising, privacy, anti-spam, intellectual-property, and platform rules. Clients must approve claims and hold the necessary permissions for audiences, lists, content, and offers. We may refuse unlawful instructions. Search rankings, AI citations, ad approval, traffic, leads, conversions, revenue, or return on investment are not guaranteed unless a specific lawful written commitment expressly says otherwise. Examples and case studies are contextual, not promises of identical results. See the Acceptable Use and Service Disclaimer. These statements do not excuse a failure to supply the service actually agreed.
10. Suspension, termination, and third parties
We may restrict misuse of our website or suspend affected services where reasonably necessary for security, unlawful activity, or a material contractual breach. We will give notice and an opportunity to resolve a remediable issue where appropriate; urgent protective action may be immediate. Termination, access handover, outstanding fees, and unused funds are handled under the project agreement and Refund Policy. Third-party platforms control their own terms, availability, policies, and approvals, but using a third party does not remove our own contractual duties.
11. Responsibility and mandatory legal rights
We will exercise the care and skill required by applicable law and our agreement. Free tools and general information have limitations and should be checked before being used for important decisions. Any negotiated business liability limit must be set out clearly in the project agreement. No provision excludes liability that cannot lawfully be excluded, including applicable liability for fraud, wilful misconduct, or other non-excludable harm. Nothing here removes statutory warranties, consumer remedies, privacy rights, regulatory powers, or rights arising from a service not supplied as agreed.
12. Governing law and disputes
Indian law governs these general terms to the extent a lawful choice of law is permitted. Courts and tribunals with competent jurisdiction may hear disputes. We do not use this clause to deprive a customer of mandatory protections or a competent consumer forum in India, Kenya, the USA, or another applicable jurisdiction. Please contact Azfar Alam through the grievance route to seek a practical resolution. Contacting us first does not prevent urgent relief, a regulator complaint, or action within a legal limitation period. These terms do not impose mandatory arbitration or waive class or collective rights.
13. Changes and contact
We will date material updates and provide notice or seek agreement where required. Changes apply prospectively and cannot create a charge or reduce an accrued right merely because a page was updated. For service issues, privacy requests, and complaints, use our Privacy Rights and Grievance Redressal page. Please keep your accepted order and payment records.
